Summary

This course aims to provide an overview, to discuss, and to analyse critically key issues of corporate law and to raise business awareness. We start with a general background and discussion of different business forms, the formation of companies, the company constitution, and the differences between private and public corporations. We subsequently focus on the consequences of incorporation- the fundamental concepts of corporate personality and limited liability, their limitations and application in both single company and corporate group contexts. Next, we look at rules and challenges concerning corporate acts and liabilities, including the enforcement of contracts entered into by companies, and corporate liability in tort or for criminal offences. Following that, we discuss key duties of directors, including the duty to act within powers, duty to promote the company’s success, duty of care, skill, and independent judgment and duty to avoid a conflict of interest. We then discuss members’ rights and remedies including decision making and company meetings, the unfairly prejudicial remedy, and derivative claims.
